Terms of Service
These Terms of Service ("Terms") govern your access to and use of the services provided by ScaleVirtual ("ScaleVirtual", "we", "us", or "our"), including our website, our operations and back-office services, and any related communications (together, the "Services"). By accessing our website, starting a free trial, or engaging us to provide the Services, you ("you", "your", or the "Client") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation.
Please read these Terms carefully. If you do not agree with them, do not use the Services.
1. Definitions
- Services means the operations, administrative, and back-office support we provide, as scoped and agreed with you before an engagement begins.
- Engagement means an active, ongoing arrangement for us to provide the Services to you under an agreed scope and plan.
- Free Trial means the 3-day evaluation period described in Section 3.
- Deliverables means the documents, systems, SOPs, reports, and other work product we create for you in the course of the Services.
- Your Data means any data, content, credentials, or materials you or your clients provide to us, or that we access or process on your behalf.
2. The Services
ScaleVirtual provides a human operations team, supported by AI tools, that runs back-office and operational work for agencies. This may include inbox and calendar management, scheduling, project and deadline coordination, client communication, bookkeeping and invoicing, hiring and freelancer coordination, documentation and SOPs, workflow automation, and related tasks. The exact scope of your Services is agreed with you before the Engagement begins and may be adjusted by mutual agreement as described in Section 7.
We are an independent service provider. We work behind the scenes and your relationship with your own clients remains yours at all times. We do not hold ourselves out as you to your clients unless you specifically ask us to act in your name as part of the agreed scope.
3. Free trial, no upfront payment
Every Engagement begins with a 3-day free trial. During the Free Trial we begin doing real work for your agency so you can judge the quality and fit for yourself. We do not collect any payment or payment details to start the Free Trial, and you are under no obligation to continue.
We only collect payment once you are satisfied with our work and decide to continue. If, at the end of the Free Trial, you choose not to proceed, you owe us nothing and the Engagement simply ends. If you choose to continue, the paid Engagement begins and the billing terms in Section 4 apply. We may limit the Free Trial to one per agency and may decline or end a Free Trial that is being used in bad faith.
4. Fees and billing
- Paid Engagements are billed monthly in advance, at the plan and scope agreed with you.
- The price depends on your team size, workload, and the availability you require, starting at the published entry price. Any changes to price are agreed with you before they take effect.
- We accept payment by the methods we make available to you, which may include bank transfer, PayPal, or cryptocurrency.
- Unless stated otherwise, fees are exclusive of any taxes, which are your responsibility where they apply.
- Invoices are due on the date stated. We may pause the Services if an invoice remains unpaid after a reasonable reminder.
- There are no long-term lock-ins. You may cancel effective at the end of any billing month as described in Section 10.
5. Refunds
Because every Engagement starts with a free trial and is billed monthly, you only ever pay for a month you have chosen to continue into. Our cancellation and refund policy is set out in full on our Cancellation & Refunds page, which forms part of these Terms.
6. Your responsibilities
- Provide the access, information, tools, and context we reasonably need to perform the Services.
- Keep your account and contact details accurate and up to date.
- Ensure that you have the right to give us access to any accounts, systems, or data you share with us, and that doing so does not breach any third-party terms or laws.
- Remain responsible for your own clients, your own legal and regulatory obligations, and the final decisions on your account.
- Use the Services only for lawful purposes and not for anything fraudulent, abusive, or harmful.
7. Scope and changes
The scope of your Services is reviewed and can be adjusted month to month as your agency grows or changes. Material changes to scope, availability, or price are agreed with you before they take effect. Work that falls clearly outside the agreed scope may be quoted separately.
8. Confidentiality and non-disclosure
We treat your information, your systems, and your clients' information as strictly confidential. We use it only to deliver the Services, we limit access to the team members who need it, and every team member is bound by confidentiality obligations. We will not disclose your confidential information to anyone outside the Engagement except where required by law, and we will protect it with reasonable care for as long as we hold it. These obligations continue after the Engagement ends.
9. Data protection
How we collect and handle personal data is described in our Privacy Policy. Where we process personal data on your behalf as part of the Services, we act on your documented instructions and handle that data in line with applicable data protection laws. If you require a separate data processing agreement, contact us and we will put one in place.
10. Term, cancellation, and suspension
The Engagement continues on a rolling monthly basis until cancelled. You may cancel at any time, effective at the end of the then-current billing month, by giving us notice at the contact details below. On cancellation we will complete any work already paid for, hand back your materials in a reasonable format, and stop accessing your systems. We may suspend or end an Engagement if you breach these Terms, if an invoice remains unpaid, or if continuing would be unlawful or expose either party to significant risk.
11. Intellectual property
You retain ownership of your pre-existing materials and your data. The Deliverables we create specifically for you in the course of a paid Engagement, such as your SOPs and documented processes, are yours to keep. We retain ownership of our own underlying know-how, templates, tools, and methods, and of anything we developed independently of your Engagement. We grant you a licence to use any such underlying materials to the extent needed to benefit from the Deliverables.
12. Service availability
We aim to provide the Services reliably and, where agreed, around the clock. We will use reasonable care and skill, but we do not guarantee that the Services will be uninterrupted or error-free, and timelines and response targets are provided in good faith rather than as absolute guarantees unless expressly stated in writing.
13. Warranties and disclaimers
We warrant that we will perform the Services with reasonable care and skill. Except as expressly stated in these Terms, the Services are provided "as is" and "as available", and we disclaim all other warranties, whether express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, goodwill, or data. Our total aggregate liability arising out of or in connection with the Services is limited to the fees you paid to us in the month in which the event giving rise to the liability occurred. Nothing in these Terms limits any liability that cannot be limited by law.
15. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these Terms, your misuse of the Services, or your instructions to us where following them caused the claim, except to the extent the claim results from our own breach or negligence.
16. Independent contractor relationship
ScaleVirtual acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties, and neither party may bind the other except as expressly agreed.
17. Force majeure
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including outages, acts of government, natural events, or failures of third-party services, provided it takes reasonable steps to mitigate the impact.
18. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will update the date at the top of this page and, where appropriate, let you know. Your continued use of the Services after a change takes effect means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws applicable at our principal place of business, and the parties will try to resolve any dispute amicably in good faith before pursuing any other remedy. Nothing in these Terms affects any mandatory consumer or statutory rights you may have under your local law.
